These Terms of Service ("Terms") form a binding agreement between you ("you", "Customer") and CASHSMITH L.L.C-FZ ("SellerPulse", "we", "us") governing your access to and use of the SellerPulse platform, website at getsellerpulse.com, and related services (collectively, the "Service"). Please read these Terms carefully. By accessing or using the Service, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account, accessing, or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Service.

2. Description of Service

SellerPulse provides analytics, reimbursement recovery automation, inventory intelligence, advertising analytics, and AI-driven insights for Amazon sellers and multi-channel e-commerce operators. The Service integrates with third-party platforms including Amazon Selling Partner API (SP-API), Shopify, eBay, Walmart, and others.

3. Account Registration and Eligibility

  • You must be at least 18 years old and legally able to enter into contracts.
  • You must provide accurate and complete registration information.
  • You are responsible for safeguarding your account credentials.
  • You are responsible for all activity that occurs under your account.
  • You must notify us immediately of any unauthorized access at info@getsellerpulse.com.

4. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable law.
  • Violate Amazon's Acceptable Use Policy or Selling Partner Agreement.
  • Reverse engineer, decompile, or attempt to extract source code of the Service.
  • Use the Service to send unsolicited communications or spam.
  • Interfere with or disrupt the Service or servers.
  • Use the Service to develop a competing product.
  • Share your account with unauthorized third parties.
  • Submit data you do not have legal authority to process.

5. Subscription, Fees, and Billing

  • Subscription fees are billed monthly in advance via Stripe and are non-refundable except where required by law.
  • Free trials, if offered, automatically convert to paid subscriptions at the end of the trial unless cancelled.
  • We may change pricing with 30 days' notice; price changes do not affect the current billing period.
  • Failure to pay may result in suspension or termination of the Service.
  • You are responsible for all applicable taxes.

6. Intellectual Property

SellerPulse retains all rights, title, and interest in the Service, including all software, content, designs, trademarks, and documentation. You retain ownership of your data. You grant us a limited, worldwide, non-exclusive license to use your data solely to provide the Service to you.

7. Third-Party Services

The Service integrates with third-party services including Amazon Selling Partner API. Use of those services is subject to their respective terms. SellerPulse is not affiliated with, endorsed by, or sponsored by Amazon.com, Inc. or its affiliates. You are responsible for maintaining compliance with the terms of any third-party services you connect.

8. Data and Privacy

Your use of the Service is also governed by our Privacy Policy. By using the Service, you consent to our collection, use, and storage of data as described therein.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS. ANALYTICS, FORECASTS, AND AI-GENERATED RECOMMENDATIONS ARE INFORMATIONAL ONLY AND DO NOT CONSTITUTE BUSINESS, FINANCIAL, OR LEGAL ADVICE.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SELLERPULSE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL. OUR TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS WILL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

11. Indemnification

You agree to indemnify and hold SellerPulse harmless from any claims, damages, or expenses arising from your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

12. Termination

You may cancel your subscription at any time from your billing settings. We may suspend or terminate your access for violation of these Terms, non-payment, fraudulent activity, or threats to the integrity of the Service. Upon termination, your right to use the Service ceases, and we will delete your data in accordance with our Privacy Policy.

13. Governing Law and Disputes

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict of law principles. Any dispute will be resolved exclusively in the state or federal courts located in Delaware, and the parties consent to the jurisdiction of those courts.

14. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated by email or in-app notice at least 30 days before they take effect. Your continued use of the Service after changes take effect constitutes acceptance.
